1. Definitions

In these Terms and Conditions, the following words carry the meanings given below:

• "Deedhaven" / "we" / "us" / "our" — the business operating under the name Deedhaven, located at 58/4 Sukhumvit Road, Tha Pradu, Mueang Rayong, Rayong 21000, Thailand.
• "Client" / "you" / "your" — any individual or household that engages Deedhaven for services or uses this website.
• "Services" — the document organisation and records support services offered by Deedhaven, including Safekeeping Information Talks, Document Organisation Help, and Records Maintenance Companion arrangements.
• "Engagement" — a specific agreement between you and Deedhaven for the provision of one or more Services.
• "Agreement" — these Terms and Conditions together with any written scope document provided for a specific Engagement.
• "Website" — the website operated by Deedhaven at deedhaven.cyou.

2. Acceptance of Terms

By using this Website, submitting an enquiry, or entering into an Engagement with Deedhaven, you confirm that you:

• Are at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Have read and understood these Terms and Conditions
• Agree to be bound by these Terms and Conditions

If you are entering into an Engagement on behalf of a household or organisation, you represent that you have authority to do so.

3. Service Description

Deedhaven provides household document organisation and records support services. Our current service offerings are:

• Safekeeping Information Talks (฿3,600 per session): Educational sessions on document keeping methods for households.
• Document Organisation Help (฿11,600 per engagement): Hands-on sorting, labelling, and filing of household records.
• Records Maintenance Companion (฿31,800 per month): Ongoing arrangement for regular upkeep of household documents and inventories.

Services are primarily delivered in person within Rayong Province and surrounding areas of the Eastern Seaboard region of Thailand. Safekeeping Information Talks may also be conducted remotely by video call.

Deedhaven does not provide legal advice, financial advice, document translation, notarial services, or any activity requiring a professional operating licence.

4. Engagement and Scope

Before any Service commences, Deedhaven will provide a written scope summary setting out:

• The specific Service or Services to be provided
• The expected number of sessions or visits
• The deliverables at the conclusion of the Engagement
• The applicable fee

The scope may be adjusted by mutual written agreement if the actual volume of documents or complexity of the household archive differs materially from initial expectations. Any additional sessions required beyond the agreed scope will be agreed and priced separately before being carried out.

5. Client Responsibilities

As a Client you agree to:

• Provide accurate information about the documents and records to be organised
• Ensure that a responsible adult is present during any home visit
• Retain ownership and responsibility for all documents — Deedhaven does not take custody of original documents
• Inform Deedhaven of any documents that are legally sensitive before work commences
• Not request services that would require Deedhaven to act in a professional capacity it does not hold (legal advice, translation, etc.)
• Use the Website and its contents only for lawful personal or household purposes

6. Intellectual Property

All content on the Deedhaven Website — including text, layout, design, and methodology descriptions — is the intellectual property of Deedhaven. Reference guides, indexes, and written summaries produced during an Engagement are provided for the Client's household use. They may not be reproduced commercially or distributed without prior written consent from Deedhaven.

The Deedhaven name and the indexing methodology described in our materials remain the property of Deedhaven.

7. Payment Terms

• All prices are stated in Thai Baht (฿) and are inclusive of applicable taxes unless otherwise stated
• Payment is due within 7 days of invoice date unless otherwise agreed in writing
• Physical materials (folders, labels, archival supplies) used during an Engagement are charged at cost in addition to service fees
• For the Records Maintenance Companion, the monthly fee is invoiced at the start of each period
• Late payment may result in suspension of ongoing arrangements until the outstanding balance is settled

Cancellation: Sessions cancelled with less than 24 hours' notice may be charged at 50% of the session fee. Sessions cancelled with more than 24 hours' notice will not be charged. The Records Maintenance Companion arrangement may be ended by either party with 30 days' written notice.

8. Confidentiality

Deedhaven treats all household documents and personal information encountered during an Engagement as confidential. We will not:

• Copy, photograph, or digitise original documents without your explicit consent
• Share details of your household records or document contents with third parties
• Retain physical documents beyond the duration of a working session

This obligation of confidentiality survives the termination of any Engagement.

9. Disclaimers

Deedhaven provides practical document organisation and educational services. We do not provide legal, financial, tax, or professional advice of any kind. Nothing in our guidance, reference materials, or verbal communications during an Engagement constitutes professional advice in any regulated field.

Document organisation services are provided on a best-efforts basis. Deedhaven cannot be responsible for:

• The accuracy, completeness, or legal validity of documents we help to organise
• Any documents that were missing, mislabelled, or damaged prior to our Engagement
• Consequences arising from the Client's own decision-making regarding their documents

10. Limitation of Liability

To the fullest extent permitted by Thai law, Deedhaven's total liability in connection with any Engagement shall not exceed the fees paid by the Client for that specific Engagement.

Deedhaven shall not be liable for any indirect, consequential, or incidental losses, including loss of documents, loss of data, or losses arising from reliance on our general guidance. This limitation does not apply where liability cannot be excluded under applicable law, including in cases of gross negligence or wilful misconduct.

11. Indemnification

You agree to indemnify and hold harmless Deedhaven and its staff from any claims, losses, or damages arising from: your misrepresentation of the scope or nature of documents to be organised; your instructions that direct our work in a manner contrary to these Terms; or your violation of any applicable law in connection with the use of our Services.

12. Termination

Either party may terminate a one-off Engagement before it commences with written notice (subject to the cancellation terms in Section 7). The Records Maintenance Companion arrangement may be ended by either party with 30 days' written notice.

Deedhaven reserves the right to decline or discontinue an Engagement if the work requested falls outside the scope of our Services or conflicts with these Terms. In such cases, any pre-paid fees for work not yet performed will be refunded.

Sections 6, 8, 9, 10, and 13 of these Terms survive termination of any Engagement.

13. Dispute Resolution and Governing Law

These Terms are governed by the laws of Thailand. In the event of any dispute arising from an Engagement or these Terms, the parties agree to first attempt informal resolution by contacting Deedhaven at [email protected].

If informal resolution is not achieved within 30 days, the dispute shall be subject to the jurisdiction of the competent courts of Rayong Province, Thailand. Clients in the European Union retain the right to raise disputes with their local consumer protection authorities.

14. General Provisions

• Entire agreement: These Terms together with any written scope document constitute the entire agreement between the parties for each Engagement.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
• Waiver: Failure by Deedhaven to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without prior written consent from Deedhaven.
• Notices: Formal notices under these Terms should be sent to [email protected] or by post to the address in Section 16.

15. Changes to These Terms

We may update these Terms from time to time. The revised version will be posted on this page with an updated "Last Updated" date. For ongoing Engagements, we will provide reasonable notice of material changes. Continued use of the Website or continuation of an Engagement after changes take effect constitutes acceptance of the revised Terms.
